1. Agreement to Terms
These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Women of Cenla / I Do Expert Solutions ("Company", "we", "us", or "our"), concerning your access to and use of the womenofcenla.com website. By accessing the Site, you agree that you have read, understood, and agreed to be bound by all of these Terms of Use.
2. Intellectual Property Rights
Unless otherwise indicated, the Site is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us.
3. User Representations (Directory & Membership)
By using the Site and submitting your business for a listing, you represent and warrant that:
All registration information you submit (including business accolades, awards, and descriptions) will be true, accurate, current, and complete.
You have the legal authority to represent the business you are listing.
You will not submit content that is false, misleading, illegal, or defamatory.
We reserve the right to remove any directory listing or membership that violates our community standards or values.
4. Purchases and Refunds
Founding Memberships: Founding Membership fees are a one-time investment. All purchases are final and non-refundable unless otherwise required by law.
5. Founding Membership: Scope and Limitations
5.1 Nature of Membership
The title "Founding Member" is a commercial designation used to identify early adopters and supporters of the Women of Cenla directory and publication. Purchasing a Founding Membership grants you specific marketing and community benefits (such as directory listings and magazine features).
No Equity or Ownership: A Founding Membership does not convey any equity, shares, ownership interest, profit-sharing, voting rights, or decision-making authority in Women of Cenla, I Do Expert Solutions (IDES), or any of its affiliates. You are a client/member, not a business partner or legal founder of the entity.
5.2 Duration and "Lifetime" Access
References to "Lifetime Access" or "One-Time Investment" refer to the lifespan of the Women of Cenla digital platform.
If the Women of Cenla website, publication, or service is discontinued, retired, or undergoes a change of control (acquisition), the "Founding Member" benefits will cease, and no refunds for the one-time fee will be issued after the initial refund period (if any).
5.3 Editorial Control
While Founding Members are guaranteed a feature in the magazine, Women of Cenla retains full editorial control over the content, layout, timing, and final publication of all materials. We reserve the right to edit submitted bios or photos for length, clarity, and community standards.
5.4 Revocation of Status
We cherish our community culture. We reserve the right to revoke "Founding Member" status and remove directory listings (without refund) if a member:
Engages in illegal activity.
Violates these Terms of Use.
Engages in conduct that is deemed harmful, hateful, or contradictory to the core values and faith-based standards of the Women of Cenla community.
5.5 Non-Transferability
Founding Membership is tied to the specific individual or business entity that registered. It cannot be sold, transferred, or assigned to another person or business without the express written consent of Women of Cenla.
Price Changes: We reserve the right to change prices for memberships or advertising at any time.
6. Prohibited Activities
You may not access or use the Site for any purpose other than that for which we make the Site available. The Site may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us (such as your Directory Listing).
Systematic retrieval of data (scraping) from the Site to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us is prohibited.
7. Limitation of Liability
In no event will we or our directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the site or your reliance on directory information.
8. Governing Law
These Terms shall be governed by and defined following the laws of the State of Louisiana.
